It is my pleasure to invite you to read this crowd-sourced funding offer document and to consider the opportunity to become a shareholder in Birds on Bikes Pty Ltd (‘Birds on Bikes’, or ‘the Company’).

Birds on Bikes was launched in 2017 to give female cyclists around the world better choice in cycling wear which offers comfort, function and style when cycling – regardless of body shape. My search for bike wear for a curvaceous body type was often received with, no, sorry, we haven’t got anything like that, but we have been asked a lot lately.

We stand out from other market players because our cycling wear is anatomically designed to celebrate and accommodate the curve. We don’t just make clothes wider and longer. Our range offers inclusive sizing with features such as wider arm and leg bands, seamless inner legs, and high waists - just to call out a few of the appealing product features.

We champion every woman to ride in comfort and style.

Cycling is one of the most common forms of physical activity and recreational activity. Adoption of cycling is increasing, globally, as greater emphasis is placed on health promotion, mental health awareness and disease prevention. The bike boom of COVID-19 has also seen the numbers of cyclists rise across the globe, for reasons of recreational, fitness and transport – and it’s not expected to slow.

  • Approximately 3.5 million Australians ride in a typical week and 8.4 million across the year in 2019.
  • Globally, we are seeing growth in the fitness sector and across all subsectors, including fitness apparel, particularly since COVID-19 arrived on our doorstep.
  • The growing global cycling apparel sector is expected to reach USD 7.88 billion by 2027.

Many of our customers attest to making the leap to cycling or riding more frequently, simply by looking the part, feeling comfortable, and feeling they now belong because they’ve now got bike wear which suits their ‘own’ physique.

It’s exciting but it’s now time to scale up to deliver more products to more women cyclists. Undertaking a crowd sourced funding campaign is key to raising funds for the Company, and importantly creating further awareness of Birds on Bikes, to extend our community.

In raising funds, we plan to scale our manufacturing, and sales and marketing capability to propel our reach and to help accelerate further revenue growth within Australia and other major markets; and, to efficiently sustain our short supply chain to ensure we fulfil the orders, maintain customer satisfaction, and to continue to build upon our range.

We have plans to continue to expand the range with new products, leverage the innovation of new performance fabrics, and safety focused design among other new features. We also have plans to extend our range into spin cycling, mountain biking and bike travelling and other sports activities in which women participate.

As Birds on Bikes continues to grow, we will remain focused on our ethical and environmental principles by ensuring we incorporate recycled fabrics into our range, with a commitment to increase the use of organic and regenerated fabrics as we expand the range.

Birds on Bikes currently offers a range of tops and bottoms for cycling enthusiasts with functions and features to deliver comfort, 50+ UV protection, sizing options through to 3XL (size 24) and quick dry fabrics which draw moisture away from the body. 

We have a range of Knicks and Bib Knicks, Jerseys, Base layers, T-shirts and accessories.

  • Our printed garments are made from recycled eco polyester
  • The plain fabrics are Vita, a sustainable, hyper resistant, elegant, stretch, soft and moisture wicking performance fabric made of ECONYL® regenerated polyamide produced by Aquafil SpA and derived from pre and post consumers waste materials, such as ghost fishing nets, tulle, and carpet fluff.

How will monies raised be used

A full Use of Funds is included in the Offer Document. 

  • Marketing and Advertising - growth has largely been organic, with little spend directed to campaigns or advertising.  Marketing initiatives to raise awareness been driven in-house.   Birds on Bikes intends to allocate funds to marketing to build and execute customer acquisition campaigns.
  • Product Development - Our product development roadmap sees the release of eight (8) new styles over the next 12 months, as well as extending inclusive sizing options. 
  • Manufacturing and stock - Birds on Bikes would like to maintain the merits of a short-supply-chain for our customers, and to achieve continued, speedy fulfilment. To enable this, and to reduce any existing pressure on our supply chain, we need to ensure more stock on hand.  Increasing our outsourced manufacturing capacity, as well as employing a machinist in-house to create small batches of specialty items will help us to achieve this.
  • The appointment of personnel to increase our customer engagement, marketing capability and operational staff, will increase the capacity of our ability to grow our customer reach - and brand presence.
  • Complete the upgrade of our Shopify E-commerce platform

Manufacture and Supply Risk

The loss of local manufacturers or unforeseen interruption in the manufacturing process, or interruption to the supply of fabrics which are currently sourced internationally, could have a material adverse effect on the manufacturing, and general supply chain process and might result in the Company losing sales or not achieving its strategic business objectives. The Company will need to continue to successfully engage with its product manufacturers. Manufacturing of Birds on Bikes Cycling Apparel is currently outsourced to a third party, located in Brisbane. While continuing to outsource the bulk of our items we will start to investigate the viability of performing selected inhouse manufacturing.

Future Funding Needs

The Company cannot guarantee the availability of funds in the future, or that the funds will be available on favourable terms. If we are unable to raise these funds, it could adversely impact the Company’s business and prospects. The Company’s strategic objectives may require more capital in its current phase to effectively achieve stated activities and plans, particularly if only Minimum Subscription is secured.

Human Resources & Key Man Departure

Prior to incorporation, the business was operating as a sole trader with one key personnel.  The Company has plans to expand its staff base, following the capital raise, to increase productivity and capacity for products and services and will build business continuity plans to help mitigate risks associated with key man departure. 

Market Competition

There is always a market risk of new entrants and the extension of range by existing market players to directly compete, or the launch of counteractive marketing and products.  Birds on Bikes will continue the expansion of its range and initiatives to grow its reach to maintain a competitive position.

Birds on Bikes is excited to announce it has achieved an increase of 70% on sales compared to this time last year.   

Demand for our garments continues to gain traction from the company’s key markets of Australia, New Zealand, USA and Canada.  

Birds on Bikes has kicked off discussions with Australian retailers to stock the Birds on Bikes collection.   A key plan for Birds on Bikes is to build alignment with online stockists across its major markets - to increase distribution of the range during 2022. 

The company is in collaboration discussions with three local artists to design jersey prints during 2022.   Representing local artists in the brand's collection is a key feature of the brand's identity - proudly Australian.   

We're pleased to announce that Birds on Bikes will again participate in ‘Pedal Power Street Style 2022’ - as part of the Brisbane Cycling Festival to raise local awareness.

    Our collection - increasingly sustainable

    Birds on Bikes currently offers a range of tops and bottoms for cycling enthusiasts with functions and features to deliver comfort, 50+ UV protection, sizing options through to 3XL (size 24) and quick dry fabrics which draw moisture away from the body. 

    We have a range of Knicks and Bib Knicks, Jerseys, Base layers, T-shirts and accessories.

    • Our printed garments are made from recycled eco polyester
    • The plain fabrics are Vita, a sustainable, hyper resistant, elegant, stretch, soft and moisture wicking performance fabric made of ECONYL® regenerated polyamide produced by Aquafil SpA and derived from pre and post consumers waste materials, such as ghost fishing nets, tulle, and carpet fluff.

    Directors 

    Birds on Bikes has been a sole trader business, prior to incorporation in September 2021.  The Founder has been the only key personnel, with core manufacturing and other operational functions, including digital marketing, bookkeeping and accounting outsourced.  It is planned that key resources will be appointed post-raise subject to the outcome.

    How will monies raised be used

    A full Use of Funds is included in the Offer Document. 

    • Marketing and Advertising - growth has largely been organic, with little spend directed to campaigns or advertising.  Marketing initiatives to raise awareness been driven in-house.   Birds on Bikes intends to allocate funds to marketing to build and execute customer acquisition campaigns.
    • Product Development - Our product development roadmap sees the release of eight (8) new styles over the next 12 months, as well as extending inclusive sizing options. 
    • Manufacturing and stock - Birds on Bikes would like to maintain the merits of a short-supply-chain for our customers, and to achieve continued, speedy fulfilment. To enable this, and to reduce any existing pressure on our supply chain, we need to ensure more stock on hand.  Increasing our outsourced manufacturing capacity, as well as employing a machinist in-house to create small batches of specialty items will help us to achieve this.
    • The appointment of personnel to increase our customer engagement, marketing capability and operational staff, will increase the capacity of our ability to grow our customer reach - and brand presence.
    • Complete the upgrade of our Shopify E-commerce platform

     

       

     

    Risks

    Manufacture and Supply Risk

    The loss of local manufacturers or unforeseen interruption in the manufacturing process, or interruption to the supply of fabrics which are currently sourced internationally, could have a material adverse effect on the manufacturing, and general supply chain process and might result in the Company losing sales or not achieving its strategic business objectives. The Company will need to continue to successfully engage with its product manufacturers. Manufacturing of Birds on Bikes Cycling Apparel is currently outsourced to a third party, located in Brisbane. While continuing to outsource the bulk of our items we will start to investigate the viability of performing selected inhouse manufacturing.

    Future Funding Needs

    The Company cannot guarantee the availability of funds in the future, or that the funds will be available on favourable terms. If we are unable to raise these funds, it could adversely impact the Company’s business and prospects. The Company’s strategic objectives may require more capital in its current phase to effectively achieve stated activities and plans, particularly if only Minimum Subscription is secured.

    Human Resources & Key Man Departure

    Prior to incorporation, the business was operating as a sole trader with one key personnel.  The Company has plans to expand its staff base, following the capital raise, to increase productivity and capacity for products and services and will build business continuity plans to help mitigate risks associated with key man departure. 

    Market Competition

    There is always a market risk of new entrants and the extension of range by existing market players to directly compete, or the launch of counteractive marketing and products.  Birds on Bikes will continue the expansion of its range and initiatives to grow its reach to maintain a competitive position.

    70% increase in sales compared to this time last year

    Birds on Bikes is excited to announce it has achieved an increase of 70% on sales compared to this time last year.   

    Demand for our garments continues to gain traction from the company’s key markets of Australia, New Zealand, USA and Canada.  

    Birds on Bikes has kicked off discussions with Australian retailers to stock the Birds on Bikes collection.   A key plan for Birds on Bikes is to build alignment with online stockists across its major markets - to increase distribution of the range during 2022. 

    The company is in collaboration discussions with three local artists to design jersey prints during 2022.   Representing local artists in the brand's collection is a key feature of the brand's identity - proudly Australian.   

    We're pleased to announce that Birds on Bikes will again participate in ‘Pedal Power Street Style 2022’ - as part of the Brisbane Cycling Festival to raise local awareness.
